1896 'THE CONFLICT IN A LOCAL COMPANY.
At the Court the Chancery yesterday, his Honour Vice-Chancellor Hall continued hearing the cases in which the managing director of the Globe Engineering Company is at variance with three other directors and shareholders In the first case the plaintiffs, George Henry Hollingworth, Ezekiel Grayson Constantine, and Thomas Clarke, directors of the Globe Engineering Company, on behalf of themselves and shareholders in the company, brought an action to restrain Arthur George Brown, managing director of the Globe Engineering Company, from conducting or having a pecuniary interest in a separate and rival business competing with in whose employ he was. An injunction was prayed for to restrain him from holding an interest in the Atlas Bronze Company, and calling upon him to account for all profits made by the defendant un the manufacture and sale of white metal.

'The second action by the same plaintiffs was against Arthur George Brown. John Joseph Tinker, and John Sugden, and prayed the court to declare that the proceedings of a meeting of the Globe Engineering Company, held on the 15th January, were irregular and invalid ..... The examination of the plaintiff Hollingworth was continued by Mr. Maberly. Witness said he remembered the Globe Engineering Company entering into an agreement with the Pittsburg Company for the sale of aluminium ingots on commission. The remainder of the business was to be conducted as a merchant business. This was in February, 1895. On the 31st May, 1895. Brown told witness that he had started work at the foundry in Egerton-street, Salford. Witness asked him, on behalf of his co-directors, to dispose of the new metal business and devote himself to the business of the Globe Engineering Company in accordance with his agreement......' [2]
